1. The Service
Seabright Financial Limited dba Structuru (“Company”) grants the Customer a non-exclusive, non-transferable, revocable license to access and use the Platform for internal business purposes to process construction financial documents.
2. AI & Accuracy Disclaimer
2.1 Probabilistic Nature
The Customer acknowledges that the Service utilizes Artificial Intelligence and Machine Learning (“AI”) to extract and match data. AI is probabilistic and may produce errors, hallucinations, or inaccuracies.
2.2 Human Review Required
The Service is a support tool, not a replacement for human accounting. The Customer agrees to review and verify all data extracted by the Service before making financial decisions or payments.
2.3 No Financial Liability
Structuru is not responsible for overpayments, underpayments, missed invoices, or budget variances resulting from reliance on the Service’s output.
3. Data Ownership & Usage
3.1 Customer Data
The Customer retains all ownership rights to the invoices, estimates, and financial data uploaded to the Service (“Customer Data”).
3.2 License to Process
The Customer grants Structuru the right to process, store, and copy Customer Data to provide the Service.
3.3 Aggregated Learning (The "Network Effect")
The Customer agrees that Structuru may use anonymized and aggregated Customer Data to train and improve its AI models, ensuring that such data cannot identify the Customer or its specific pricing agreements.
4. Third-Party Integrations
If the Customer connects the Service to third-party accounts (e.g., Gmail, Procore, Supplier Portals), the Customer represents they have the authority to grant such access. Structuru is not liable for changes or connection failures caused by third-party APIs.
5. Limitation of Liability
To the maximum extent permitted by law, Structuru’s total liability arising out of this agreement shall not exceed the total amount paid by the Customer in the twelve (12) months preceding the event giving rise to the claim.
6. Governing Law
This Agreement shall be governed by the laws of the State of Delaware, without regard to its conflict of laws provisions.
7. Refund & Cancellation Policy
All new paid subscriptions include a 30-day money-back guarantee. Monthly and annual subscriptions may be cancelled at any time, with access continuing through the end of the current billing period.
